These Service Ticket Terms & Conditions ("Terms") govern all services performed by Foley IT LLC ("Foley IT", "we", "our", or "us"). By signing a service ticket, work order, invoice, or electronic signature, the Customer ("Customer", "you", or "your") acknowledges and agrees to these Terms.

Acceptance of Work

By signing a completed service ticket, the Customer confirms that:
  • The services listed on the ticket have been completed.
  • The work has been inspected.
  • The work was completed in a professional manner.
  • Any concerns have been communicated before signing.
  • The Customer authorizes Foley IT LLC to close the service ticket.

Unless specifically noted in writing before signature, the Customer accepts the completed work as satisfactory.

Delivery of Equipment

The Customer acknowledges receipt of all hardware, software, accessories, cabling, licenses, passwords, documentation, or other materials listed on the service ticket.

Ownership of equipment remains with Foley IT LLC until payment has been received in full.

Invoice Acceptance

By signing the service ticket, the Customer acknowledges receipt of the associated invoice and agrees to pay according to the payment terms shown on the invoice.

Late payments may be subject to applicable late fees, collection costs, and reasonable attorney's fees where permitted by law.

Customer Responsibilities

The Customer is responsible for:
  • Maintaining current backups unless Foley IT has been contracted to provide backup services.
  • Providing accurate information regarding the issue.
  • Testing repaired equipment after service completion.
  • Protecting usernames, passwords, and authentication devices after service.

Data Loss

Technology repairs involve inherent risk.

Although reasonable care is taken, Foley IT LLC is not responsible for loss of data, corruption of files, operating system failure, software issues, or configuration problems unless expressly agreed in writing.

Customers are strongly encouraged to maintain verified backups before any service begins.

Third-Party Products

Foley IT LLC is not responsible for failures caused by:
  • Internet Service Providers
  • Cloud providers
  • Microsoft updates
  • Apple updates
  • Google services
  • Power outages
  • Manufacturer defects
  • Third-party software
  • Malware or ransomware
  • Actions performed by anyone other than Foley IT LLC after service completion

Manufacturer warranties remain the responsibility of the manufacturer.

Warranty

Unless otherwise stated in writing, Foley IT LLC provides a 14-day workmanship warranty covering labor performed during the original service.

This warranty does not cover:
  • New issues unrelated to the original repair
  • Customer modifications
  • Physical damage
  • Water damage
  • Power surges
  • Viruses or malware
  • Software installed after service
  • Manufacturer defects
  • Hardware failure occurring after service that was not caused by Foley IT LLC

Warranty service is limited to correcting the original work performed.

Limitation of Liability

To the fullest extent permitted under Arkansas law, Foley IT LLC's total liability for any claim arising from the services performed shall not exceed the lesser of:
  • Two Thousand Dollars (US $2,000.00); or
  • The total amount paid to Foley IT LLC for the specific services giving rise to the claim.

Foley IT LLC shall not be liable for indirect, incidental, consequential, special, exemplary, or punitive damages, including but not limited to lost profits, loss of business, loss of goodwill, loss of data, or business interruption.

Nothing in these Terms limits liability where such limitation is prohibited by applicable law.

Customer Inspection Period

Customers should inspect completed work immediately.

Any concerns regarding workmanship should be reported within seven (7) calendar days after service completion.

Failure to notify Foley IT LLC within this period constitutes acceptance of the completed work, except where prohibited by law.

Remote Services

When remote support is provided, the Customer authorizes Foley IT LLC to remotely access devices necessary to perform requested services.

The Customer understands that remote sessions may be logged for quality assurance and documentation purposes.

Cybersecurity

Foley IT LLC provides commercially reasonable security practices but cannot guarantee that any computer, network, cloud service, or email system will remain completely secure against cyberattacks, malware, ransomware, phishing, zero-day vulnerabilities, or future threats.

Force Majeure

Foley IT LLC shall not be liable for delays or failures caused by events beyond its reasonable control, including natural disasters, utility outages, internet outages, labor disputes, government actions, pandemics, or supplier delays.

Governing Law

These Terms shall be governed by the laws of the State of Arkansas without regard to conflict of law principles.

Venue

Any legal action arising from these Terms shall be brought in a court of competent jurisdiction located within the State of Arkansas, unless otherwise required by applicable law.

Severability

If any provision of these Terms is determined to be unenforceable, the remaining provisions shall remain in full force and effect.

Entire Agreement

These Terms, together with the applicable estimate, invoice, service agreement, or service ticket, constitute the complete agreement regarding the services performed unless superseded by a separately signed written contract.

Electronic Signatures

Electronic signatures, typed signatures, tablet signatures, and digital acknowledgments shall have the same legal effect as handwritten signatures to the fullest extent permitted by law.

Agreement

By signing a Foley IT LLC service ticket, work order, invoice, or electronic acknowledgment, the Customer certifies that:
  • The listed services have been completed.
  • The work has been inspected.
  • The work is satisfactory unless otherwise noted before signing.
  • All listed equipment and materials have been received.
  • The Customer has reviewed and agrees to these Service Ticket Terms & Conditions.
